1. Definitions
Teacher Foundry / we / us / our: Scrollwell EduTech LLP, operator of teacherfoundry.com.
You / Client / Educator / Customer: any person or entity that registers, purchases, subscribes to, or uses our Services.
Services: all products and services we offer including but not limited to Starter, Growth and Pro packages, website/LMS setup, course production, templates, certificates, marketing, hosting, integrations, maintenance and consulting.
SOW / Service Agreement: a project-specific statement of work, proposal, or contract describing scope, deliverables, timeline and fees.
Third-Party Services / Integrations: external platforms and vendors (payment gateways, hosting, plugins, Canva, YouTube, Zoom, analytics, etc.) used to deliver or augment Services.
Deliverables: project outputs we produce under a SOW (websites, templates, course materials, certificates, reports).
Account: your Teacher Foundry user account.
2. Acceptance and scope
These Terms apply to all access and use of teacherfoundry.com and to Services we provide directly or through authorized subcontractors.
If you do not agree to these Terms, do not use or purchase our Services.
3. Eligibility
You must be at least 18 years old and legally able to enter binding contracts.
You may not use our Services for illegal activity or in violation of these Terms.
4. Account registration and security
You must provide accurate, current and complete information when registering.
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
Notify us immediately at info@teacherfoundry.com if you suspect unauthorized access.
5. Service descriptions, SOWs and acceptance
Service descriptions on the website are indicative. Specific scope, timelines, milestones and deliverables are established in the SOW or proposal.
Deliverables are considered accepted when you give written acceptance (email or signed form) or when the specified review window expires without material comments.
If you request changes outside the agreed scope, we will provide a written change order setting new fees and timelines. Work on change orders begins only after written acceptance.
6. Client responsibilities and cooperation
Timely delivery depends on your cooperation. You agree to: provide required content, credentials, approvals and feedback within agreed review windows; maintain third-party accounts you control; and ensure materials you provide do not infringe third-party rights or violate laws.
Delays caused by you may change timelines and incur additional fees.
7. Fees, payment and taxes
Fees are as listed in the SOW or on the site and are payable in INR unless stated otherwise.
Taxes (GST or equivalent) are added where required. You are responsible for any other taxes due in your jurisdiction.
Payment methods: payment gateways (Stripe, Razorpay, PayPal) or bank transfer as agreed. Payment gateway fees are passed through as applicable.
For project work we may require an upfront deposit, milestone payments, or full payment before delivery as stated in the SOW.
Non-payment entitles us to suspend Services, retain deliverables and pursue collection. You remain liable for fees and collection costs.
8. Refunds and cancellations
Refunds and cancellations follow our Return & Cancellation (Refund) Policy. That policy governs timing, calculations, non-refundable items and how refunds are processed.
9. Intellectual property and licenses
Your content: you retain ownership of all content you provide. You grant Teacher Foundry a worldwide, non-exclusive, royalty-free license to use, copy, modify and publish that content only as necessary to provide Services.
Teacher Foundry IP: we retain all rights in our pre-existing materials, templates, tools, code libraries, workflows and any work not explicitly transferred in the SOW.
Deliverables: unless otherwise stated in the SOW, on full payment we assign or license to you the deliverables created specifically for your project (excluding our pre-existing materials and third-party components). Assignment or licensing terms are set in the SOW.
Third-party components: deliverables may include third-party software, themes or licensed assets governed by their own license terms. You agree to comply with those third-party licenses. Costs for third-party licenses are your responsibility.
10. User content and acceptable use
You are solely responsible for the legality, accuracy and ownership of content you upload, publish or distribute using our Services.
Prohibited content includes illegal material, infringing content, hate speech, pornography, malware, or content that violates privacy or other people’s rights.
We may remove or refuse to publish content that violates these Terms or applicable law. We are not liable for content removal decisions made in good faith.
11. Prohibited activities
You agree not to:
Use the Services to commit fraud, abuse, spam, unauthorized access or any illegal activity.
Attempt to probe, scan, or test the vulnerability of our systems.
Interfere with other users’ access or services.
Bypass security or content controls.
Misrepresent your relationship with Teacher Foundry or impersonate an employee.
12. Confidentiality
Each party will keep confidential business or technical information disclosed during the engagement that is marked or reasonably understood as confidential.
Confidential information does not include information that is public, rightfully received from a third party, independently developed, or required to be disclosed by law.
Confidentiality obligations survive termination for 3 years.
13. Data protection and privacy
Processing of personal data is governed by our Privacy Policy. You are responsible for ensuring you have lawful authority to provide personal data (including students’ data) to us and third-party integrations.
For integrations requiring your credentials, you authorize Teacher Foundry to access and act on your behalf for the purpose of service delivery.
14. Third-party services and integrations
We may integrate or recommend third-party services (payment gateways, hosting, LMS, plugins, Canva, YouTube, Zoom). Those services have separate terms and privacy policies. We are not responsible for their availability, performance or changes to their terms.
If you instruct us to purchase or configure third-party services on your behalf, you authorize us to do so and accept responsibility for fees and license terms.
15. Affiliate, referral and commercial relationships
Teacher Foundry may receive referral fees, commissions or benefits from third-party providers we recommend. We will disclose material affiliate relationships in proposals and onboarding.
If you participate in our Affiliate or Referral program, additional program rules apply and are incorporated by reference.
16. Warranties and disclaimers
We warrant that we will perform Services with reasonable skill and care in a professional manner consistent with industry standards.
Except for the express warranty above and to the extent required by law, Services and deliverables are provided “as is” and we disclaim all other warranties (express or implied) including merchantability, fitness for a particular purpose and non-infringement.
17. Limitation of liability
To the maximum extent permitted by law, Teacher Foundry’s total aggregate liability for any claim arising out of or related to these Terms or Services is limited to the total fees you paid to Teacher Foundry for the specific Services that gave rise to the claim in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, exemplary or consequential damages, including lost profits, lost business opportunities, loss of data, or loss of goodwill, even if we were advised such damage was possible.
This limitation will not apply where prohibited by applicable law.
18. Indemnification
You agree to indemnify, defend and hold Teacher Foundry, its officers, employees and contractors harmless from and against all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your content or use of Services; (c) your violation of any law or third-party rights; or (d) fraud or negligent acts by you.
19. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, engage in prohibited conduct, or fail to pay fees.
On termination we may disable your access and remove content; we will retain backup copies in accordance with our Data Retention policy and applicable law.
Termination does not relieve you of amounts owed for Services already performed. Refunds, if any, follow our Refund Policy.
You may terminate an SOW in accordance with that SOW’s termination provisions.
20. Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control (natural disaster, strike, interruption of internet or third-party services, government action). The affected party must notify the other promptly and take reasonable steps to resume performance.
21. Notices
We will provide notices to the email address on your account. You must send legal notices to info@teacherfoundry.com or by postal mail to the registered address.
Electronic notices (email) are effective when sent; postal notices are effective on receipt.
22. Modifications to terms
We may modify these Terms from time to time. If changes are material, we will notify account holders by email or site notice. Continued use after notice constitutes acceptance of updated Terms. For new purchases, the Terms in effect on the Purchase Date apply.
23. Dispute resolution and governing law
Try first: parties agree to attempt good-faith resolution by direct negotiation. Escalate to info@teacherfoundry.com if a dispute cannot be resolved within 30 days.
Governing law: these Terms are governed by the laws of India.
Jurisdiction: If resolution through negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Patna, Bihar.
24. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign or subcontract to affiliates or service providers.
25. Severability and waiver
If any provision is held invalid or unenforceable, the remainder of these Terms remains in effect. Our failure to enforce any right is not a waiver of that right.
26. Entire agreement
These Terms, the Privacy Policy, Refund Policy and any SOWs and written agreements constitute the entire agreement between you and Teacher Foundry relating to the Services and supersede prior agreements.
